Mr. Guanghai Li serves as the Chief Executive Officer and Chairman of Helport AI Limited, a position he has held since September 2023. Prior to this, he was Chief Strategy Officer at ENN Natural Gas Ltd. (September 2021 – August 2023), where he led the company’s strategic direction and alignment with long-term objectives. From September 2020 to August 2021, Mr. Li held the same role at ENN Group, focusing on hardware, software, and application development. Earlier, he served as Managing Director at Accenture plc (July 2012 – August 2020), where he led client engagements, fostered sustainable relationships, and oversaw project teams delivering consulting services.

Mr. Li holds a dual bachelor’s degree in Economics and Thermal Engineering (1991) and a master’s degree in Thermal Engineering (1994) from Tsinghua University. He also earned a master’s degree in Technology and Policy from the Massachusetts Institute of Technology in 2000.

Ms. Di Shen has experience in accounting. She has been the Secretary of the Company since July 2023. From June 2020 to June 2023, Ms. Shen served as a Senior Product Director at Beijing Sincere Digits Co., Ltd. She obtained a Master’s degree in Accountancy from George Washington University in 2012 and a Bachelor’s degree in Economics from Xiamen University in 2009.

Ms. Xinyue (Jasmine) Geffner ("Ms. Geffner") serves as an independent director of Helport AI Limited and brings over two decades of global finance and corporate governance experience across public companies, investment banking, and the hospitality sector.

She has been Chief Financial Officer of Dorsett Hospitality International Services Limited (part of HKSE: 0035.HK) since February 2019. She currently serves as an independent director and Audit Committee Chair of Tristar Acquisition I Corp. (NYSE: TRIS) since August 2023, and as an independent director of NWTN INC. (NASDAQ: NWTN), where she sits on the Compensation and ESG & Strategy Committees (since November 2022.

Ms. Geffner previously served as:

• Director and Audit Committee Chair of China Finance Online Co. Limited (Nasdaq: JRJC) from May to November 2021
• Chief Financial Officer of GreenTree Hospitality Group Limited (NYSE: GHG), where she led its IPO in March 2018 (Oct. 2017 – Dec. 2018)
• Vice President of Corporate Finance and Development, Asia Pacific at LeEco (Oct. 2016 – Aug. 2017)
• Independent Director of AG Semiconductor (Hong Kong) Ltd. (Apr. 2013 – Apr. 2017)
• Chief Financial Officer of Carnival Group International Holdings Limited (HKSE: 0996.HK) (Aug. 2014 – Mar. 2016)

Earlier in her career, she held senior roles in banking and corporate finance, including:

• Director of Corporate and Institutional Banking at ANZ Hong Kong (Nov. 2008 – Jan. 2011)
• Head of China Business Development and VP in the Consumer & Retail Group at HSBC in New York (Mar. 2005 – Feb. 2008)

Ms. Geffner holds a B.A. in International Marketing and Finance from the City University of New York (1994) and an MBA from NYU Stern School of Business (1997). She is a Certified Public Accountant in both Washington State (USA) and Hong Kong, and is also a CFA Charterholder.

Mr. Xiaoma (Sherman) Lu ("Mr. Lu") serves as an independent director of Helport AI Limited and brings extensive leadership experience in private equity, capital markets, and corporate governance across China and global financial institutions.

Since October 2017, Mr. Lu has been a Founding Partner and Managing Director at East Stone Capital Limited, a private equity firm focused on emerging industries. Prior to that, he served as Executive Vice President at Kangde Investment Group (Jan. – Nov. 2017), a Chinese firm active in new energy, financial services, and capital investment.

From 2015 to 2016, Mr. Lu was CEO of Wanda Investment Company and Vice President of Wanda Financial Group, the investment arm of Wanda Group, overseeing business expansion, capital investment, and cross-border M&A in real estate and entertainment.

From 2012 to 2015, Mr. Lu served as Executive Vice President of the Shenzhen Stock Exchange, where he led public company governance, product innovation, and international business development. He was previously a non-executive board director at China Construction Bank (Aug. 2010 – Nov. 2012), and held multiple roles at State Street Corporation (NYSE: STT) between 2005 and 2010.

Mr. Lu currently sits on the boards of:

• Forgame Holdings Limited (0484.HK) – a China-based gaming and trading company
• Sailing Henan Investment – a private investment firm
• Bank of China International (China) Co., Ltd. (601696.SH) – an affiliate of Bank of China offering investment banking and brokerage services

He previously served as an independent director of Yango Group Co., Ltd. (000671.SZ), a major real estate developer, from 2017 to 2022.

Mr. Lu holds both bachelor's and master’s degrees in Thermal Engineering from Tsinghua University, and an MBA from Boston College.

Mr. Geoffrey Bonnycastle ("Mr. Bonnycastle") serves as an independent director of Helport AI Limited. He brings over 25 years of executive experience in corporate leadership, strategic growth, and international business development.

Since 1998, Mr. Bonnycastle has been the founder and president of Alius Corporation, a private firm focused on global market strategy and organizational consulting. Under his leadership, Alius has advised multinational companies and emerging businesses across North America and Asia, specializing in growth strategy, operational scale, and cross-border partnerships.

He earned a Master’s degree in Political Science and a Bachelor’s degree in East Asian Studies from the University of Toronto.
